Board Meeting Minutes Template 2026: What to Record and Retain
Template Skeleton
Header → quorum → approvals → reports → motions → executive session → adjourn + next date. Attach deck, not copy-paste.
Pair with Board of Directors, Audit Committee, Proxy, and Retention Schedule.
What Auditors and Counsel Check
- Approval of financials, auditors, and related-party transactions — see Related Party.
- Executive comp and clawback actions — see Exec Comp.
- Risk oversight note — see ERM.
Retain signed minutes permanently with pack index per Audit Procedures.
Mistakes
- Vague approvals without motion or vote.
- Missing dissent or quorum.
- Privileged detail in minutes instead of counsel file.
Annotated Template Walkthrough
A complete minutes packet for a routine quarterly board meeting:
1. Header block. Company, meeting type (regular/special), date, time, location or virtual link, chair, secretary, attendees (directors present/absent), guests (CFO, counsel, auditors), and materials circulated with dates. Note the notice basis — bylaws section or waiver signed by all directors.
2. Quorum call. “A quorum of X of Y directors being present, the Chair called the meeting to order at [time].” Without this sentence, every resolution after it is challengeable.
3. Approvals. Prior minutes approved (mover/seconder/vote), then standard consents: option grants with grant-date and FMV reference to 409A, bank resolutions, auditor engagement — see Audit Procedures.
4. Reports with decisions. Financial review (actuals vs budget, cash runway — see Burn/Runway), committee reports, CEO update. Record conclusions and assigned actions with owners and dates, not discussion transcript.
5. Resolutions. Each as: background (one paragraph) → resolved clauses → mover/seconder → vote tally including abstentions and dissent with reason summarized. Attach executed consents for written actions between meetings.
6. Executive session + adjourn. Independent directors met without management at [time]; any actions reported out (or “no actions taken”). Adjournment time and next meeting date.
Executive Session and Privilege Discipline
Minutes are discoverable. Keep litigation, investigation, and counsel-advice detail in a separate privileged memorandum held by counsel — never in the minutes book. The minutes should show that the board sought advice (“the Board consulted counsel regarding X and, on that basis, resolved Y”) without recording the advice itself. Coordinate wording with counsel before finalizing, especially around Whistleblower matters, Related Party approvals, and Going Concern judgments.
Committee Minutes Carry Equal Weight
Audit committee minutes must stand alone under inspection: auditor appointment and fees, pre-approval of non-audit services, internal-control findings, whistleblower statistics, and disagreement with management if any — see Audit Committee and SOX 404. Compensation committee minutes document peer benchmarking, performance scores, and grant approvals feeding Exec Comp disclosure. Apply the same mover/seconder/vote discipline; file committee packs with the same permanent retention as full-board minutes.
